Munich, 23rd August 2019 - The audi­ting and con­sul­ting firm Ebner Stolz has advi­sed GENUI Zwölfte Betei­li­gungs­ge­sell­schaft mbH on the acqui­si­tion of the Berge & Meer Group and the Boo­me­rang Rei­sen Group as part of a Finan­cial as well as Tax Due Dili­gence and Tax Struc­tu­ring.

The Ger­man pri­vate equity com­pany GENUI, head­quar­te­red in Ham­burg, acqui­res 100% of the sha­res in the two com­pa­nies Berge & Meer and Boo­me­rang Rei­sen. The dis­po­sal of TUI Group’s majo­rity stake was car­ried out through a share deal/carve-out.

The Berge & Meer Group, head­quar­te­red in Rengs­dorf (Rhein­land-Pfalz), focu­ses on the dis­tri­bu­tion of round trips and pac­kage tours. These are mainly offe­red through direct sales as well as a strong net­work of retail part­ners. The Berge & Meer Group has been active in the tou­rism indu­s­try for over 40 years.

The Boo­me­rang Rei­sen Group, head­quar­te­red in Trier (Rhein­land-Pfalz), is a spe­cia­li­zed tra­vel agency, focu­sing on custo­mi­zed tra­vel tours. What ini­tially began in 1994 with Aus­tra­lia as the only des­ti­na­tion has now grown into a glo­bally active com­pany. Boo­me­rang Rei­sen dis­tin­gu­is­hes its­elf espe­cially through the indi­vi­dual sup­port of its custo­mers.

In 2019 the two com­pa­nies expect a com­bi­ned reve­nue of EUR 276 mil­lion.

Ebner Stolz has advi­sed the pri­vate equity com­pany GENUI on the acqui­si­tion of both tra­vel com­pa­nies as part of a Finan­cial as well as Tax Due Dili­gence and Tax Struc­tu­ring.
